Terms and Conditions Governing Registration, Access to and Use of the
PMSBAZAAR.COM (Portal) and Related Services

1. Preamble

These Terms and Conditions Governing Registration, Access to and Use of the PMSBAZAAR.COM (Portal) and Related Services ("Terms and Conditions" or "Terms") constitute a legally binding agreement governing the registration, access to, browsing, use of, interaction with and receipt of services through the PMSBAZAAR Portal (PMSBAZAAR.COM).

These Terms govern the relationship between PMS FINTECH PRIVATE LIMITED ("PMSBAZAAR"), MYALTERNATES FINANCIAL SERVICES PRIVATE LIMITED ("MYALTERNATES"), wherever applicable, and every Visitor, Registered User, Client and Authorised Representative accessing or using the PMSBAZAAR Portal or any User Services made available through the PMSBAZAAR Portal.

These Terms shall apply to every person accessing the PMSBAZAAR Portal irrespective of the device, browser, operating system, technology platform or mode of access used.

These Terms shall be read together with the Privacy Policy, Disclaimer and Limitation of Liability (Portfolio Summary Disclaimer), Client Consent-cum-Authorisation, Cookie Policy (where applicable) and such other policies, declarations, notices or documents as may be published by the Companies from time to time.

The Regulatory Disclosures, Investor Information & Important Notices form an integral part of these Website Terms & Conditions. All users are required to read them before accessing or relying upon any information, analytics, reports, performance data, ratios, rankings, comparisons or other content available on the Portal.

By registering on the PMSBAZAAR Portal, accessing the PMSBAZAAR Portal, browsing the PMSBAZAAR Portal, clicking any acceptance button, selecting any consent checkbox, submitting any registration form, requesting any User Service, uploading any document, submitting any enquiry, communicating with the Companies, requesting interaction with a Relationship Manager, requesting a Portfolio Summary, clicking the "Invest Now" facility, or otherwise accessing or using any part of the PMSBAZAAR Portal or any User Service, the User acknowledges that he, she or it has:

If any person does not agree to these Terms, such person shall immediately discontinue registration, access to and use of the PMSBAZAAR Portal.

4. Definitions

Unless the context otherwise requires, the following expressions shall have the meanings assigned below.

4.1 "PMSBAZAAR" means PMS FINTECH PRIVATE LIMITED, the owner and operator of the PMSBAZAAR Portal providing Platform Services, Portfolio Summary Services and other User Services made available through the PMSBAZAAR Portal.

4.2 "MYALTERNATES" means MYALTERNATES FINANCIAL SERVICES PRIVATE LIMITED, an AMFI Registered Mutual Fund Distributor, APMI Registered PMS Distributor and Distributes Alternative Investment Funds (AIFs) (providing Distribution Services) in accordance with applicable laws, regulations and industry requirements.

4.3 "Companies" means collectively PMSBAZAAR and MYALTERNATES and includes their respective directors, officers, employees, Relationship Managers, consultants, authorised representatives, service providers, technology partners, successors and permitted assigns wherever the context so requires.

4.4 "PMSBAZAAR Portal" means the website, portal, web application, mobile-enabled platform and associated digital infrastructure owned, operated or managed by PMSBAZAAR through which User Services are made available.

4.5 "Visitor" means any individual accessing or browsing the PMSBAZAAR Portal without completing registration.

4.6 "Registered User" means an individual who has successfully completed the registration process on the PMSBAZAAR Portal and whose registration has been accepted by PMSBAZAAR.

4.7 "Client" means a Registered User who requests, receives or avails one or more Portfolio Summary Services or Distribution Services.

4.8 "Authorised Representative" means any individual duly authorised to act on behalf of a Registered User or Client wherever such representation is permissible under applicable law and accepted by the Companies.

4.9 "User" means, collectively, a Visitor, Registered User, Client and Authorised Representative, as the context may require.

4.10 "Core Services" means the principal services made available through the PMSBAZAAR Portal and consisting of Platform Services, Portfolio Summary Services and Distribution Services.

4.11 "Platform Services" means informational, educational, analytical and technology-based services provided through the PMSBAZAAR Portal, including access to databases, performance information, analytical tools, comparison tools, reports, dashboards, educational content and such other information-based services as may be made available by PMSBAZAAR from time to time.

4.12 "Portfolio Summary Services" means portfolio-related analytical services made available through the PMSBAZAAR Portal or through MYALTERNATES, including, where applicable, Portfolio Summary, portfolio analysis, portfolio diversification analysis, asset allocation analysis, graphical presentations, charts, observations, comparative portfolio analysis and such other portfolio-related analytical services as may be offered from time to time.

4.13 "Distribution Services" means the distribution of Mutual Funds, Portfolio Management Services (PMS) and Alternative Investment Funds (AIF), together with related onboarding, transaction facilitation, application assistance, post-transaction support and such other services lawfully undertaken by MYALTERNATES within the scope of its registrations and applicable laws.

4.14 "Support Services" means operational and technical services supporting the delivery of User Services, including user registration, authentication, account administration, OTP verification, password management, document upload, CAS upload, technical support, customer support, helpdesk services, electronic delivery of reports and related operational functions.

4.15 "Ancillary Services" means supplementary services supporting the Core Services, including newsletters, educational material, webinars, meeting scheduling, alerts, notifications, event invitations, promotional communications, FAQs and similar support initiatives.

4.16 "Regulated Services" means those services which are subject to applicable laws, regulations, circulars, guidelines or directions issued by SEBI, AMFI, APMI or any other competent regulatory or statutory authority and which are undertaken exclusively by MYALTERNATES within the scope of its registrations and applicable law.

4.17 "User Services" means, collectively, one or more of the Core Services, Platform Services, Portfolio Summary Services, Distribution Services, Support Services and Ancillary Services made available through the PMSBAZAAR Portal.

4.18 "Relationship Manager" means an authorised employee, representative or official of MYALTERNATES designated to interact with Registered Users and Clients for purposes permitted under applicable law, including explaining products, facilitating onboarding, assisting with documentation, obtaining or receiving authorised portfolio information, facilitating transactions and providing post-transaction assistance.

4.19 "Portfolio Summary" means the analytical portfolio report generated by or on behalf of MYALTERNATES, based upon the information voluntarily provided or authorised by the Client, together with charts, tables, graphs, computations, observations, annexures and related analytical content.

4.20 "CAS" means the Consolidated Account Statement issued by the appropriate depository or any other portfolio information, statements or investment records voluntarily uploaded, provided or authorised by the Client for the purposes of Portfolio Summary Services.

5. Eligibility for Registration

5.1 Eligibility

Registration on the PMSBAZAAR Portal is available only to natural persons who have attained the age of eighteen (18) years and are competent to contract under applicable law.

Registration may also be permitted, subject to the Companies' acceptance and applicable regulatory requirements, in respect of the following categories through their duly authorised representatives:

The Companies reserve the absolute right to accept, reject, suspend or terminate any registration without assigning any reason, subject to applicable law.

6. Registration on the PMSBAZAAR Portal

Registration on the PMSBAZAAR Portal is mandatory for availing User Services.

A Visitor may browse only those portions of the PMSBAZAAR Portal that are expressly made available without registration.

Access to Registered User functionality, Portfolio Summary Services, Distribution Services and such other User Services as may be designated by the Companies shall be available only after successful registration.

Registration shall be deemed complete only upon fulfilment of such requirements as may be prescribed by the Companies from time to time.

7. Registration Information

The User shall furnish complete, true, accurate and up-to-date information during registration.

The User undertakes to promptly update any change in the information provided.

The Companies shall be entitled to rely upon the information furnished by the User unless notified otherwise.

The User shall be solely responsible for any consequences arising from inaccurate, incomplete or misleading information.

8. Mandatory User Consents

Registration on the PMSBAZAAR Portal shall constitute the User's express acknowledgement that the User has voluntarily elected to register on the PMSBAZAAR Portal and to avail one or more User Services.

As a condition precedent to successful registration, every User shall provide such consents as may be prescribed by the Companies.

Without prejudice to the generality of the foregoing, the User expressly authorises the Companies to communicate with the User through one or more communication channels for purposes relating to:

The foregoing list is inclusive and illustrative and shall not restrict communications otherwise permitted under applicable law and the User's consent.

The User acknowledges that registration cannot be completed unless all mandatory consents prescribed by the Companies are duly provided.

9. Verification of Registration

The Companies may verify the registration details furnished by the User through one or more authentication mechanisms including:

Successful verification shall not constitute acceptance of registration.

The Companies may require additional verification or documentation whenever considered appropriate.

Failure to complete verification within the prescribed time may result in rejection, suspension or cancellation of registration.

10. User Account

Upon successful registration, the User may be provided access to a User Account.

The User shall be solely responsible for maintaining the confidentiality of login credentials.

The User shall immediately notify the Companies upon becoming aware of:

The Companies shall not be responsible for any loss arising from unauthorised use of the User Account attributable to the User's negligence or failure to maintain confidentiality.

11. User Services

Subject to these Terms, the Companies may make available one or more User Services through the PMSBAZAAR Portal.

The availability, nature and scope of any User Service shall be determined solely by the Companies.

Nothing contained herein shall oblige the Companies to provide every User Service to every Registered User.

Certain User Services may require additional documentation, additional consent, regulatory compliance or fulfilment of eligibility criteria.

12. Platform Services

Platform Services are intended to facilitate access to information, analytical content and educational resources relating to Mutual Funds, Portfolio Management Services (PMS) and Alternative Investment Funds (AIF).

Platform Services may include, without limitation:

Platform Services are informational in nature and shall not, by themselves, constitute Regulated Services.

13. Portfolio Summary Services

Portfolio Summary Services are analytical services that may be made available by the Companies to eligible Clients.

Portfolio Summary Services are optional.

Registration on the PMSBAZAAR Portal shall not automatically entitle a Registered User to receive Portfolio Summary Services.

A Relationship Manager of MYALTERNATES may contact the Registered User to ascertain whether the Registered User is interested in availing the Portfolio Summary.

The Registered User shall be under no obligation to request or avail the Portfolio Summary.

Similarly, the Companies shall not be under any obligation to prepare or provide a Portfolio Summary unless the applicable requirements, documentation and internal processes have been duly completed.

Where the Client elects to proceed, Portfolio Summary Services may be provided based upon the CAS or such other portfolio information voluntarily uploaded, provided or authorised by the Client.

The Portfolio Summary is presently provided on a complimentary basis.

The Companies reserve the right to introduce charges for the Portfolio Summary or any Portfolio Service in future by appropriate modification of these Terms or by publication of an applicable schedule of charges.

14. Distribution Services

Distribution Services are undertaken exclusively by MYALTERNATES in accordance with the registrations held by it and applicable regulatory requirements.

The availability of Distribution Services shall not be construed as an obligation upon any Registered User to invest through MYALTERNATES.

Likewise, registration on the PMSBAZAAR Portal shall not create any obligation upon MYALTERNATES to accept any person as a client or to facilitate any transaction.

All investment decisions shall remain the sole responsibility of the Client.

Transactions shall be subject to applicable laws, regulatory requirements, product documentation, internal policies and such additional documentation as may be prescribed.

15. Invest Now Facility

The PMSBAZAAR Portal may provide an "Invest Now" facility to facilitate investments in eligible products distributed by MYALTERNATES.

Depending upon the nature of the product, regulatory requirements or operational considerations, the User may:

The User acknowledges and agrees that redirection to any third-party platform or service provider may be necessary for facilitating transactions or complying with regulatory, technological or operational requirements.

The User further acknowledges that the Companies shall not be responsible for the privacy policies, terms of use, availability, functionality or security practices of any third-party platform, website or service provider, and the User shall independently review and comply with the applicable terms governing such third-party services.

16. Communications

The User acknowledges and agrees that all communications between the Companies and the User may be made through one or more communication channels authorised by the User during registration or otherwise subsequently consented to by the User.

Such communications may include, without limitation:

The User may, wherever permitted under applicable law, modify communication preferences in the manner prescribed by the Companies. However, communications relating to security, authentication, regulatory compliance, contractual obligations or service administration may continue notwithstanding any modification of marketing preferences.

17. Electronic Records and Communications

The User acknowledges that registration, consents, instructions, declarations, communications, reports, Portfolio Summaries, confirmations, notices and other documents may be generated, executed, transmitted, stored or delivered electronically.

Electronic communications transmitted by the Companies to the e-mail address, registered mobile number, user account or other electronic communication channel registered by the User shall be deemed to have been duly delivered upon transmission, subject to normal technological processes.

The User shall be responsible for maintaining updated contact information and ensuring continued access to the registered communication channels.

18. Client Documentation and Consolidated Account Statement (CAS)

Where the User elects to avail Portfolio Summary Services or Distribution Services requiring portfolio information, the User may voluntarily upload the Consolidated Account Statement (CAS) or such other portfolio information through the PMSBAZAAR Portal or transmit the same through electronic mail or such other authorised mode as may be specified by the Companies.

The User represents and warrants that all documents and information furnished are true, complete, accurate and authorised to be shared with the Companies.

The Companies may rely upon the information so provided without independently verifying the completeness or accuracy thereof, unless otherwise expressly undertaken.

Unless otherwise expressly stated, valuations, portfolio information and analyses contained in any Portfolio Summary shall be based upon the latest information available as on the Report Date.

19. Relationship Managers

MYALTERNATES may designate one or more Relationship Managers for interacting with Registered Users or Clients.

A Relationship Manager may, subject to applicable law and the registrations held by MYALTERNATES:

No Relationship Manager shall be deemed to possess authority to bind either Company except to the extent expressly authorised.

20. Intellectual Property

The PMSBAZAAR Portal, together with all software, databases, compilations, reports, analytical methodologies, algorithms, charts, tables, graphs, designs, trademarks, logos, trade names, layouts, user interfaces, source code, object code, content, documentation and all other intellectual property made available through the PMSBAZAAR Portal, shall remain the exclusive property of the respective Companies or their licensors.

Nothing contained in these Terms shall operate as an assignment or transfer of any intellectual property rights.

Except to the extent expressly permitted by the Companies in writing, no User shall copy, reproduce, modify, distribute, publish, transmit, reverse engineer, commercially exploit or create derivative works based upon any intellectual property forming part of the User Services.

21. Privacy and Data Protection

The Companies recognise the importance of protecting personal information and shall collect, process, store, use and disclose personal data in accordance with the applicable laws governing data protection and privacy.

The processing of personal information shall also be governed by the Privacy Policy published by the Companies, as amended from time to time.

Wherever required under applicable law, the Companies shall obtain the necessary consent of the User prior to processing personal data.

Nothing contained herein shall limit any rights available to the User under applicable law.

22. Third-Party Services

The PMSBAZAAR Portal may contain links to or integrate with third-party websites, applications, payment systems, authentication systems, technology platforms or service providers.

The inclusion of any such link or integration shall not constitute an endorsement of the third-party service provider.

The Companies shall not be responsible for the content, availability, privacy practices, security measures or terms governing any third-party website or service.

The User shall independently review and comply with the applicable terms and policies governing such third-party services.

23. Disclaimers

The User acknowledges that the User Services are subject to the Disclaimer and Limitation of Liability (given in Portfolio Summary) and such additional disclaimers as may accompany specific reports, communications or services.

Nothing contained on the PMSBAZAAR Portal shall, unless expressly stated, constitute investment advice, legal advice, tax advice, accounting advice or any recommendation to purchase, sell or hold any investment product.

The Companies do not guarantee that the PMSBAZAAR Portal or any User Service will be uninterrupted, error-free, secure or available at all times.

The User acknowledges that financial markets involve risk and that past performance is not indicative of future results.

The User further acknowledges that any investment decision shall remain the sole responsibility of the Client.

24. Limitation of Liability

To the maximum extent permitted by applicable law, neither PMSBAZAAR nor MYALTERNATES nor any of the Protected Parties shall be liable for any direct, indirect, incidental, consequential, exemplary, punitive or special loss or damage arising out of or relating to:

The Companies may suspend, restrict or terminate access to the PMSBAZAAR Portal or any User Service at any time where considered necessary for reasons including, without limitation:

Termination of access shall not affect rights or obligations accrued prior to such termination.

27. Modification of Services

The Companies reserve the right to add, modify, suspend, withdraw or discontinue any User Service, Core Service, Platform Service, Portfolio Service, Distribution Service, Ancillary Service or Support Service at any time.

The Companies may also introduce new services or modify the manner in which existing services are delivered.

Where required by applicable law, reasonable notice shall be provided.

28. Amendment of These Terms

The Companies reserve the right to amend these Terms from time to time.

The revised Terms shall become effective upon publication on the PMSBAZAAR Portal or from such later date as may be specified.

Continued use of the PMSBAZAAR Portal after such publication shall constitute acceptance of the revised Terms.

29. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India.

30. Jurisdiction

Subject to applicable law, the courts and tribunals at Chennai, Tamil Nadu, shall have exclusive jurisdiction in relation to any dispute arising out of or relating to these Terms, the PMSBAZAAR Portal or any User Service.

31. Severability

If any provision of these Terms is held to be invalid, illegal or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.

32. Waiver

Failure or delay by either Company in exercising any right under these Terms shall not constitute a waiver of such right.

33. Entire Agreement

These Terms, together with the Privacy Policy, Disclaimer and Limitation of Liability (given in Portfolio Summary), Regulatory Disclosures & Investor Information, Client Consent-cum-Authorisation, and such other policies or documents expressly incorporated by reference, constitute the entire agreement governing registration, access to and use of the PMSBAZAAR Portal and Related Services.
